Mana Terms of Service

These Terms of Service ("Terms") govern your access to and use of Mana, made by Eden Labs, LLC ("Eden Labs," "we," "us," or "our"). Mana includes the Mana desktop app, Mana's AI agent (the "Agent"), our website at https://edenlabs.us, and the online services they use (together, the "Service").

By creating an account, installing, accessing, or using the Service, you agree to these Terms and to the Mana Privacy Policy, which explains how we handle your data. If you do not agree, do not install, access, or use the Service.

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity.

1. Eligibility and Accounts

1.1 Eligibility. You must be at least 18 years old, or the age of majority where you live if that is higher, and legally capable of entering into a binding agreement. Mana's Agent runs on an AI account you connect (section 8), and that provider's own age requirement also applies to you.

1.2 Account Registration. You can create an account with a username and password, or by signing in with Epic Games, Steam, Google, or Discord. You agree to provide accurate, current, and complete information and to keep it updated. Your use of a sign-in service is also governed by that service's own terms.

1.3 Account Security. You are responsible for keeping your credentials confidential and for activity under your account, except to the extent caused by our own acts or omissions. You must promptly notify us at support@edenlabs.us of any suspected unauthorized access.

1.4 Account Restrictions. You may not sell, transfer, or share your account, or let anyone else use it, except as the Service's own features expressly allow.

2. Description of the Service

Mana is a desktop app for finding, installing, organizing, and troubleshooting mods for PC games. It includes the Agent, an AI assistant that can install, change, and remove mods, change game files and settings, read crash logs, look at your screen or game when you let it, take the controls of a game (keyboard and mouse) when you let it, use websites and other programs on your PC for you by clicking and typing in them, and act in Mana on your behalf. Some features, such as assembling mod lists and game knowledge, run on our servers; your games, mods, saves, settings, and chat history stay on your PC, as the Privacy Policy describes.

Mana updates itself to stay secure and compatible. We may add, modify, or discontinue features. Where a change materially reduces the Service's core functionality, we will give reasonable notice where practicable and as required by applicable law.

Certain features may be subject to additional terms, usage limits, technical requirements, or third-party conditions, which apply where disclosed and accepted.

The Service may experience interruptions, maintenance periods, or temporary unavailability. We do not guarantee uninterrupted or error-free operation, or that Mana will work with every game or mod.

Pre-release features. We may invite some users to try features before release, such as a closed alpha. Pre-release features are unfinished: they may not work, may lose or damage data, and may change or end at any time without notice, notwithstanding the notice described elsewhere in this section and in section 4.3. Access is by invitation, is personal to you, and may be revoked at any time. Sections 11 and 12 apply to pre-release features in full. If an invitation comes with its own agreement, that agreement also applies (16.1).

3. Fees

3.1 No Fees Today. Mana is offered free of charge. We do not charge you for the Service. Every account is on the free plan today.

3.2 Future Paid Features. If we introduce paid plans or features, we will update these Terms under section 14 before they are offered, and we will show you the price, billing terms, and how to cancel before you buy. Nothing is charged unless you expressly agree to it.

3.3 Your AI Provider's Fees. The Agent runs on an AI account you connect (section 8). Any fees or usage limits of that account or key are between you and that provider and are not part of Mana.

4. Termination

4.1 By You. You may stop using Mana at any time and ask us to delete your account, as the Privacy Policy describes.

4.2 By Us. We may suspend or end your access for misuse under section 5, as section 5.3 describes. For other material or repeated breaches of these Terms, a security risk, or unlawful activity, we may also suspend or end your access; where we reasonably can, we will tell you why first and give you a chance to fix it.

4.3 Discontinuing the Service. We may discontinue the Service or a material part of it for legitimate business reasons, with reasonable notice where practicable.

4.4 Pre-release Access. Your access to a pre-release feature ends when that feature launches or when we end the program, unless we tell you otherwise in writing. After launch, the feature is offered to you on the same terms as everyone else. Mods you made during the pre-release stay yours (7.1).

4.5 Effect of Termination. When this agreement ends, your right to use the Service ends. Sections 5.3 to 5.7, 6.1, 6.3, 7.3 (for copies other users have already installed), 7.6, 8.3, 8.6, 9, and 11 to 16 survive.

5. Acceptable Use

Mana's code, methods, knowledge, and server-side assembly are what Eden Labs is built on. Tampering with them is grounds for ending your access immediately and permanently, without warning, to the extent the law allows.

5.1 Tampering and IP extraction. Each of the following is serious misuse and, on its own, grounds for immediate termination under 5.3:

1. Inspecting, unpacking, decompiling, disassembling, or decrypting any part of Mana, including its program files, app archives, scripts, shaders, effects, models, and encrypted content, except where such restrictions are prohibited by applicable law (5.8).
2. Modifying, patching, or injecting code into Mana, or running a modified copy.
3. Attaching a debugger, developer tools, or any memory or process inspector to Mana while it runs.
4. Removing, disabling, or circumventing sign-in, plan limits, usage limits, encryption, update checks, access controls, or any other protection.
5. Capturing, decrypting, recording, replaying, or imitating the traffic between Mana and our services.
6. Using the Agent, another AI agent, a script, or any tool to extract Mana's methods, knowledge, prompts, tool definitions, or assembly in bulk, or to reconstruct how they work.
7. Calling our services outside the Mana app, or testing them for hidden functions or weaknesses, without our written permission.
8. Helping others do any of this, including publishing tools, patches, cracks, or instructions, or sharing what you obtained.

5.2 Other misuse. You agree not to, and not to permit others to:

1. Use the Service in violation of applicable laws or regulations.
2. Infringe, misappropriate, or violate another person's intellectual property, privacy, or other rights, including by publishing content you do not have the rights to.
3. Attempt to gain unauthorized access to accounts, systems, networks, or data, including other users' accounts.
4. Interfere with, disrupt, overload, or compromise the integrity or security of the Service.
5. Distribute malware, conduct unauthorized security testing, facilitate fraud, or engage in other harmful activity.
6. Use the Service or its output to build or operate a competing product, or to train AI models. Publishing mods you made with Mana on another site does not breach this item, even if that site's own terms let it do more with them.
7. Resell, sublicense, redistribute, or commercially exploit the Service or its output outside Mana's own sharing features or a separate written agreement. This does not restrict mods and other content you make with Mana, which section 7 covers, or videos, streams, and reviews of Mana, which section 7.7 covers.
8. Use automated access, scraping, or extraction that violates our published policies, imposes unreasonable loads, or circumvents technical restrictions.
9. Harass other users, or cheat in online play where a game forbids it.

5.3 What happens. For misuse under 5.1, we may, immediately and without notice: (1) end your licence; (2) stop Mana and our services from working for you and sign you out on every device; (3) permanently close your account and any other accounts we reasonably believe you control; (4) block the sign-in accounts we associate with you from using the Service or creating a new account; and (5) refuse any future account. For misuse under 5.2, we act in proportion: a warning, removing content, suspending your account, or ending it.

5.4 What this does and doesn't do. These measures stop Mana and our services from working for you. They never delete or change your games, mods, saves, or any other file, and touch nothing on your PC outside Mana.

5.5 How we detect misuse. We may check the requests our services receive for signs of misuse. If we ever act on a detected breach automatically, you can ask for a person to review it under 5.6.

5.6 If we got it wrong. Email legal@edenlabs.us within 30 days of the action. A person will review the case and answer within 14 days. If we were wrong, we will restore your account and lift any block.

5.7 Legal action. We may also enforce our rights in court, including claims under copyright, anti-circumvention, and trade secret law, and seek an injunction to stop the misuse.

5.8 Rights the law gives you. Nothing in these Terms takes away a right you have by law that a contract cannot remove, such as decompiling for interoperability where local law allows it. If you believe you have such a right, ask us first at legal@edenlabs.us.

5.9 Reporting security problems. If you notice a security problem while using Mana normally, tell us at security@edenlabs.us. Reporting is welcome; it is not permission to do anything in 5.1.

6. Intellectual Property

6.1 Our Property. The Service, including Mana, the Agent, the Eden name and marks, our particle effects, software, source code, architecture, design, documentation, methods, knowledge, and server-side assembly, is owned by or licensed to Eden Labs and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no ownership rights are transferred to you.

6.2 Limited Licence. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use Mana on computers you own or control, for your own personal use. Recording, streaming, and publishing videos about Mana, including monetized ones, is permitted (7.7), and so is sharing or selling mods you make, under each site's own rules (7.4).

6.3 Feedback. If you give us suggestions, ideas, feedback, or bug reports about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate it without compensation or obligation to you. This does not give us ownership of your content under section 7.

7. Your Content, Mods and Data

7.1 Ownership. As between you and Eden Labs, you keep your rights in the mods, mod lists, comments, profile content, prompts, images, mods you make with the Agent, and other material you submit to or publish through the Service ("Your Content").

7.2 Licence to Operate the Service. You grant us a limited, non-exclusive licence to host, store, copy, transmit, and process Your Content only to provide, maintain, secure, and support the Service, and to comply with law.

7.3 Publishing. If you publish mods, lists, comments, or profile content through Mana, you also grant us a worldwide, non-exclusive, royalty-free licence to host, copy, display, and distribute it in Mana so other users can find and use it. That licence ends when the content is removed, except for copies other users have already installed.

7.4 Your Responsibilities. You represent that you have the rights to Your Content and that it contains no malware and does not break the law or anyone's rights. We may remove content that breaks these Terms. We respond to copyright notices at dmca@edenlabs.us. If you publish a mod you made with the Agent, on Mana or anywhere else, label it as AI-assisted wherever that site requires it, and follow that site's rules. You are responsible for not generating content that copies another person's mod, assets, or other protected work.

7.5 Data Protection. Our collection and use of personal information are described in the Mana Privacy Policy, incorporated into these Terms by reference. Most of your data never leaves your PC.

7.6 Retention and Deletion. After you delete your account, we delete the data we hold for it within 30 days, except as the Privacy Policy describes. Copies can remain in our encrypted server backups; we don't yet delete backups on a fixed schedule. Mana's rollback points and save backups help, but you are responsible for keeping copies of files that matter to you.

7.7 Videos, Streams and Reviews. You may record, stream, and publish videos, screenshots, and reviews of Mana, including monetized ones, as long as you follow section 5 (for example, no footage of decompiling Mana or bypassing its protections). If you are in a program with its own agreement, that agreement may limit what you show of a feature before it is released.

8. The AI Agent

8.1 What the Agent Does. Mana includes an AI agent that you can talk to. It can install, change, and remove mods, change game files and settings, read crash logs, look at your screen or game when you let it, take the controls of a game (keyboard and mouse) when you let it, use websites and other programs on your PC for you by clicking and typing in them, and act in Mana for you. Mana's settings let you choose which kinds of actions the Agent may take without asking you first (your "Agent control settings"), and you can change them at any time. For anything those settings don't cover, the Agent is instructed to ask you before buying or paying for something, posting or sending messages as you, or entering a password, but it is an AI and may not always do so.

8.2 Your AI Provider. The Agent runs on an AI account you connect: your own Claude account from Anthropic, or your own OpenAI API key if you choose ChatGPT. Your conversations with the Agent, and any screenshot or game frame you let it see, are processed by that provider under your account and its terms, which you are responsible for following. Mana does not read, store, or transmit your Claude credentials, and keeps an OpenAI API key only on your PC, encrypted, sending it only to OpenAI.

8.3 Outputs. AI output, including what the Agent says and does, can be inaccurate, incomplete, out of date, or unsuitable. Check what the Agent tells you before relying on it, and do not rely on it where a mistake could cause real harm. To the extent permitted by law, and subject to third-party rights and provider terms, we assign to you any rights we have in output generated for you, except Mana's own code, templates, and other components that the Agent includes in a mod. Those stay ours, and we license them to you, royalty-free, to use and distribute as part of that mod, including when you sell it. We do not guarantee that output is unique or free from third-party claims.

8.4 Your Approval and Backups. When the Agent asks for your approval, you decide whether to give it; your Agent control settings (8.1) decide when it asks. Mana can make rollback points and save backups for many changes to games and mods, but not every change can be undone, and Mana generally cannot undo actions on websites and in other programs. Keep backups of anything that matters.

8.5 Prohibited Uses. You may not use the Agent in violation of applicable law, your AI provider's policies, or section 5, including to extract Mana's methods or knowledge.

8.6 Actions the Agent Takes for You. The Agent is a tool you direct. As between you and Eden Labs, what it does for you, including purchases, payments, messages, posts, account changes, and changes to files, games, mods, and settings, is your responsibility, on Mana and on the websites and services it uses for you. This does not apply to an action the Agent takes against your Agent control settings, or without any request from you, because of a defect in Mana's software or safeguards; tell us at support@edenlabs.us if that happens. The Agent can misunderstand you, make mistakes, fail to ask before acting, or be misled by content it reads. Those are risks of using an AI agent that you accept for the actions your Agent control settings allow, and they are not, on their own, a defect in Mana. Websites, documents, and other content the Agent reads can contain text meant to trick it into doing something you didn't ask for, so give it only the control you're comfortable with, especially where it could spend money or act as you. Mana is designed to keep the Agent from typing into fields that a page marks as password or one-time-code fields in Mana's built-in browser, and from working in private browser windows or password managers. These safeguards may not recognise every such field or window, so sign in to sites yourself and don't ask the Agent to enter passwords or codes. Some sites' own terms don't allow automated use, and it is your responsibility to follow them. To the maximum extent permitted by law, including for our ordinary negligence, Eden Labs is not liable for the results of actions that this section makes your responsibility. Nothing in this section 8.6 limits liability for our own breach of these Terms, or anything that section 12 says cannot be limited, and it does not limit your rights as a consumer where you live. Section 12 still applies.

9. Games, Mods and Third-Party Services

Mana works with games, stores, mod sites, and other services we don't own, including Steam, the Epic Games Store, Nexus Mods, mod.io, ModDB, Discord, Spotify, the AI provider in section 8, the websites the Agent uses for you, and the games themselves. We are not affiliated with them unless we say so. Their terms and privacy policies still apply to you, including any rules a game has about mods and any anti-cheat rules in online games. It is your responsibility to use mods only where they are allowed. Letting the Agent control an online game can break that game's rules; Mana is designed to refuse while a game's anti-cheat is running, but you are responsible for where you allow it.

Mods are made by their authors. We don't make them, and we don't guarantee that they are safe, legal, or working.

We do not control third-party services and are not responsible for their acts, omissions, availability, or content, except where liability cannot lawfully be excluded or arises from our own obligations.

10. Security and Availability

We maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect the Service and Your Content against unauthorized access, use, alteration, and disclosure.

No method of transmission, storage, or processing is completely secure, and we do not guarantee absolute security.

You are responsible for securing your own devices, credentials, networks, and the accounts you connect to Mana, including your AI provider account.

11. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE; THAT IT WILL WORK WITH EVERY GAME, MOD, SYSTEM, OR CONFIGURATION; OR THAT THE AGENT'S OUTPUT OR ACTIONS WILL BE ACCURATE OR RELIABLE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING YOUR STATUTORY RIGHTS AS A CONSUMER WHERE YOU LIVE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR GAME SAVES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$50.

These limitations do not apply to liability for fraud, gross negligence, or wilful misconduct, or to liability that cannot lawfully be limited or excluded, and they do not limit your rights as a consumer where you live. These limitations form an essential basis of the agreement between the parties.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Eden Labs and its officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses, including attorneys' fees, arising from:

1. Your unlawful use of the Service.
2. Your material breach of these Terms, including section 5.
3. Your Content, including mods you publish, that infringes a third party's rights or violates applicable law.
4. Your violation of another person's rights or of a game's or service's terms.
5. Instructions you give the Agent, or actions you approve, that break the law or a website's or service's terms.

This does not apply to the extent a claim arises from our own breach, negligence, or misconduct, or where indemnification cannot lawfully be required. We will give you prompt notice of a claim, let you control its defense and settlement subject to reasonable safeguards, and cooperate reasonably at your expense. You may not settle a claim in a way that admits fault for Eden Labs or imposes obligations on us without our prior written consent.

14. Changes to These Terms

14.1 Our Right to Change These Terms. We may change these Terms at any time, including to add terms for paid plans or features, to reflect changes to the Service or our business, or to comply with the law.

14.2 Notice. We will post the updated Terms, revise the "Last Updated" date, and, for a material change, tell you in Mana or by email before it takes effect.

14.3 Acceptance. A change takes effect on the date we state, and applies from then on, not to past use. Your continued use of the Service after that date means you accept the updated Terms, to the extent the law allows; where the law requires your express consent, we will ask for it, and a feature that needs it may not be available until you agree. If you do not agree, you must stop using the Service.

14.4 Paid Features. No paid plan or feature will charge you until its terms are added to these Terms and you have agreed to them.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, United States, excluding its conflict-of-law rules, except where mandatory law provides otherwise.

Disputes go to the state or federal courts located in Kings County, New York, unless your local consumer law gives you the right to bring them where you live.

Before filing a claim, both parties agree to try in good faith to resolve the dispute informally: email legal@edenlabs.us with a description of the issue and the resolution you want. This does not stop either party from seeking urgent injunctive relief or filing a claim needed to preserve legal rights.

16. General Provisions

16.1 Entire Agreement. These Terms, the Privacy Policy, and any program agreement you accept separately are the entire agreement about the Service and replace earlier agreements on that subject. A program agreement controls for that program if it conflicts with these Terms.

16.2 Severability. If a provision is unenforceable, it is changed only as much as needed to make it enforceable, and the rest stays in effect.

16.3 No Waiver. Not enforcing a provision does not waive the right to enforce it later.

16.4 Assignment. You may not assign these Terms without our prior written consent, except where the law prohibits that restriction. We may assign them in a merger, acquisition, reorganization, or sale of substantially all relevant assets.

16.5 Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, except for payment obligations.

16.6 Independent Parties. These Terms create no partnership, joint venture, employment, fiduciary, or agency relationship. The Agent is software you direct; it does not make Eden Labs your agent.

16.7 Notices. We may give notices in Mana or by email to the address on your account. Send legal notices to legal@edenlabs.us or to Eden Labs, LLC, 499 President Street, Brooklyn, NY 11215, United States.

16.8 No Third-Party Beneficiaries. Except as stated, these Terms give no rights to third parties.
